Terms of Service

1. Who we are and what these terms cover

These Terms of Service ("Terms") are an agreement between you and Decorly LLC, a Florida limited liability company ("Decorly", "we", "us"). They cover your use of the Decorly website at decorly.ai and any successor domain, the Decorly apps for iPhone, iPad and Android, and everything offered through them (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

2. Who can use Decorly

You must be at least 13 years old to use the Service. If you are under 18, or under the age of majority where you live, you may use the Service only with the involvement and permission of a parent or legal guardian, who agrees to these Terms for you. If you use the Service for a business, you confirm that you can bind that business to these Terms.

3. Your account

You sign in with your Google, Apple or Facebook account, or with your email address and a password. Keep access to them secure: anyone who can sign in to that account or who knows your password can sign in to your Decorly account. You are responsible for activity under your account. Give us accurate information, and tell us at support@decorly.ai if you think someone else has used your account.

One account per person. Don't create extra accounts to get more free credits.

You can delete your account at any time in the app (Account, then "Delete my account") or by emailing us; Delete your account has the steps. This permanently removes your designs, saved items and credits, as described in the Privacy Policy.

4. What the Service does

You upload a photo of a room or outdoor space, choose options such as a room type, style, color palette and how much to change, and the Service uses artificial intelligence to create new images of that space ("Designs"). You can also edit a part of an image with the brush tool, keep chosen pieces of furniture, and see products from online stores that look similar to items in a Design.

We may add, change or remove features, and we may limit use to keep the Service fair and running well, as described in Fair use.

5. AI-generated designs are ideas, not professional advice

Designs are created automatically by AI models. They are meant for inspiration and visualization. They can be inaccurate, imperfect or unrealistic: furniture may be the wrong size for your room, items may not exist as shown, and colors, materials and lighting may differ from real life. AI output may also look similar to images other people receive.

Decorly is not an interior designer, architect, engineer or contractor, and nothing in the Service is professional, structural, electrical, plumbing, safety or building-code advice. Before you buy, build, renovate or move anything, check measurements, safety (including for children and pets), product suitability and any rules that apply to your home, such as building codes, permits, lease terms or HOA rules. Where needed, ask a qualified professional.

6. Your photos and other content

You keep ownership. The photos you upload, the text you type and other material you provide ("Your Content") remain yours.

The permission you give us. You give Decorly a worldwide, non-exclusive, royalty-free license to host, store, copy, process, modify and display Your Content only as needed to run, secure and improve the Service for you, including sending it to the service providers named in our Privacy Policy that generate Designs and find products. This license ends when you delete Your Content or your account, except for copies we must keep by law or that remain for a limited time in backups.

We don't train AI on your photos and we don't sell them. We don't use Your Content to train our own AI models, and we don't sell it.

What you promise. You confirm that you own Your Content or have permission to use it, and that uploading it doesn't break the law or anyone else's rights. Only upload photos of spaces you have the right to photograph and share, and avoid uploading photos that show people, personal documents or other private information.

7. Your designs

As between you and Decorly, and to the extent the law allows, you own the Designs you create and may use them for any lawful purpose, personal or commercial, such as planning your home, real estate listings, client presentations or social media. Because AI-generated images may not be protected by copyright in some countries, we can't promise that you will have exclusive rights in a Design or that others won't receive similar results.

You give Decorly a license to store and display your Designs to provide the Service to you. We will not use your Designs in our marketing without your permission.

Some plans add a small Decorly watermark to downloads; paid plans may remove it, as described at purchase. Please don't remove a watermark from a download made under a plan that includes one.

8. Shopping, stores and affiliate links

The Service may show products from third-party online stores that look similar to items in a Design. These results are found automatically using search services, and they may not be exact matches.

• We don't sell these products. When you buy something, you buy it from the store, under the store's terms, prices, shipping, return and warranty policies. Decorly is not a party to that purchase and is not responsible for the product, its delivery, quality or safety.
• Prices and availability can change. The price, stock and details shown in Decorly may be out of date. The store's own page is what counts.
• Affiliate links. Some links to stores may be affiliate links. If you buy through them, Decorly may earn a commission from the store or an affiliate network, at no extra cost to you. This does not change which products we show you.

9. Credits, plans and payments

Credits. Creating a Design or an edit uses credits. New accounts receive a small number of free credits. Credits have no cash value, can't be transferred or sold, and can't be exchanged for money. We may set or change how many credits an action uses, and we will show this in the app.

Subscriptions. Paid plans (for example weekly or yearly) give you the features and credits described at the time of purchase. Subscriptions renew automatically at the end of each period at the then-current price until you cancel. You can cancel at any time, and you keep access until the end of the period you've paid for. Where a plan includes unlimited designs or other unlimited use, Fair use applies.

Where you pay. If you subscribe in the iPhone or iPad app, Apple processes the payment under the App Store's terms; if you subscribe in the Android app, Google processes it under Google Play's terms; if you subscribe on the website, Stripe processes it. You manage and cancel the subscription in the place you bought it. We don't receive or store your full card number.

Price changes. We may change prices. A new price applies to your subscription from your next renewal after we've told you, and you can cancel before it takes effect.

Refunds. Refunds are covered by our Refund Policy.

Taxes. Prices may not include sales tax, VAT or similar taxes, which may be added where required.

10. Fair use

When a plan is described as "unlimited", for example unlimited designs on a paid plan, it means unlimited for reasonable use by one person, including for your own work. It is not meant for automated use, for sharing one account between several people, for reselling Designs as a service, or for volumes far beyond what one person would make.

Every Design costs us real AI computing, so to keep the Service fast and fair for everyone we may limit use that is automated, abusive or excessive, for example with a daily cap on designs and edits or by slowing down requests. Any such limit is set well above ordinary use. If a limit applies to you, the app will tell you so and when it resets. If you need more for your work, contact us at support@decorly.ai.

11. Rules for using Decorly

Please don't:

• break any law, or use the Service to infringe anyone's intellectual property, privacy or other rights;
• upload content that is sexual, violent, hateful, harassing or deceptive, or that shows someone without their consent;
• use Designs to mislead people, for example by presenting an AI image as a real photo of a property's current condition in a listing without making clear it's a virtual design;
• try to get around credit limits, payment, watermarks or security, or create accounts automatically;
• copy, scrape, resell or rent the Service, or access it with bots, except as we allow;
• reverse engineer, decompile or try to extract the source code, models or prompts of the Service, except where the law allows despite this rule;
• interfere with or overload the Service, or try to access other people's accounts or data;
• use the Service to build a competing product.

12. Decorly's rights

The Service, including its software, design, text, graphics, logos, the Decorly name, and our selection and arrangement of options and prompts, belongs to Decorly LLC or its licensors and is protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service under these Terms. All rights we don't expressly grant are reserved.

If you send us feedback or ideas, we may use them without any obligation to you.

13. Services from others

The Service relies on and links to third-party services, such as Google, Apple and Facebook sign-in, app stores, AI model providers, search providers and online stores. Their terms and privacy policies apply to your use of them, and we are not responsible for them.

14. Ending your use

You can stop using the Service and delete your account at any time. We may suspend or close your account, or limit your access, if you break these Terms, if we must for legal reasons, or if your use creates risk or harm to others or to the Service. Where reasonable, we will tell you first. If we close a paid account without cause, we will refund the unused part of your current paid period. Sections that by their nature should continue after your use ends (including 6, 7, 12, 15, 16, 17 and 18) will continue.

15. Disclaimers

The Service, Designs and product results are provided "as is" and "as available". To the fullest extent the law allows, Decorly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don't promise that the Service will be uninterrupted, error-free or secure, that Designs will be accurate or suitable for your space, or that products shown will be available, as described or at the price shown.

Some places don't allow these exclusions, so some of them may not apply to you. Nothing in these Terms limits rights you have under consumer protection laws that can't be waived.

16. Limitation of liability

To the fullest extent the law allows, Decorly LLC and its members, managers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data, goodwill or property damage, arising from or related to the Service, Designs, product results or purchases from stores, even if we were told such damages were possible. Our total liability for all claims related to the Service is limited to the greater of (a) the amount you paid Decorly in the 12 months before the claim arose, or (b) US $50.

These limits don't apply to liability that the law does not allow us to limit, such as liability for fraud or for death or personal injury caused by our negligence.

17. Indemnity

If you are using the Service for a business, or to the extent the law allows for individuals, you agree to defend and compensate Decorly LLC against claims, losses and costs (including reasonable legal fees) arising from Your Content, your misuse of the Service, or your breach of these Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Any dispute related to these Terms or the Service will be brought only in the state or federal courts located in Florida, and you and Decorly consent to their jurisdiction, except that either of us may bring a qualifying claim in small claims court. If you live outside the United States, you may also have the right to bring proceedings in your local courts and to rely on the mandatory consumer laws of your country.

Before filing a claim, please contact us at support@decorly.ai so we can try to resolve it informally.

19. App Store terms

If you use the Decorly app downloaded from Apple's App Store: these Terms are between you and Decorly LLC, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and, to the extent the law allows, has no other warranty obligation for it; if the app fails to meet an applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. Apple is not responsible for handling any claims relating to the app, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection claims, or claims that it infringes someone's intellectual property; Decorly is responsible for those as these Terms provide. You confirm that you are not located in a country subject to a US government embargo or on a US government list of restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use of the app must also follow the App Store's usage rules. Google Play's terms similarly apply to the Android app.

20. Changes to these terms

We may update these Terms. If a change is material, we'll tell you in the app or by email before it takes effect. If you keep using the Service after the change takes effect, the new Terms apply; if you don't agree, stop using the Service and you may delete your account.

21. Other terms

These Terms, together with the Privacy Policy and Refund Policy, are the whole agreement between you and Decorly about the Service. If any part is found unenforceable, the rest stays in effect. If we don't enforce a term right away, we haven't waived it. You may not transfer your rights under these Terms; we may transfer ours to a successor, for example in a merger or sale of the business.
